The voting results of Douglas Emmett’s Annual Meeting of Stockholders, which was held on June 11, 2009 at the Sheraton Delfina in Santa Monica, California, are as follows:
Douglas Emmett’s stockholders re-elected Dan A. Emmett, Leslie E. Bider, Victor J. Coleman, Jordan L. Kaplan, Ghebre Selassie Mehreteab, Thomas E. O'Hern, Kenneth M. Panzer, Andrea L. Rich, and William Wilson III to the Board of Directors of the Company, each to serve until the Annual Meeting of Stockholders in 2010. In addition, stockholders ratified the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending, December 31, 2009. Further, the amendments to the Company’s 2006 omnibus stock incentive plan were approved by stockholders.
