Jared A. Morris, Chair of the NCG Committee stated, "Over the past several months, the Committee, with the assistance of independent counsel, conducted a review of the concerns raised by Mr. Hallagan. The Committee did not identify any significant issues based on the review of these concerns. Both the Board and senior management are committed to strong corporate governance and are continuously seeking to promote accountability, transparency and high ethical standards within our Company. Consistent with this philosophy, the Committee is evaluating potential improvements to our corporate governance policies and procedures."
